2. Service Description

Novu is an AI-powered productivity app for iOS. The service includes:

• Voice-based task management and extraction
• Goal setting and tracking
• Daily scheduling and weekly insights

The service uses artificial intelligence (Google Gemini) for voice transcription and task extraction.

3. Acceptance of Terms

By registering for and using the service, you accept these terms of use and the privacy policy. If you do not accept these terms, do not use the service.

4. Right of Use and Age Limit

The service is intended only for adults. The right to use the service requires that:

• You are at least 18 years old
• You have the right to enter into binding contracts
• You have an Apple device with an iCloud account
• The information you provide is truthful and up-to-date

5. Ordering and Payment

5.1 Ordering

The service is ordered by downloading the app and subscribing through the Apple App Store. The subscription is valid until further notice and renews automatically based on your selected plan.

5.2 Prices and Payment Methods

Current prices are displayed in the app and on the App Store. Prices include VAT. Payment is processed entirely by Apple through the App Store. We do not collect or store any payment information.

5.3 Price Changes

We reserve the right to change prices. Price changes are subject to Apple's App Store policies. The new price will take effect at the beginning of the next billing period.

6. Right of Cancellation

In accordance with consumer protection law, you have the right to cancel your order within 14 days of placing the order without giving any reason.

To cancel, manage your subscription through the App Store on your device, or contact us by email at support@withnovu.com.

Refund requests for App Store purchases are handled by Apple in accordance with their refund policies.

7. Subscription Cancellation and Refunds

You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you can use the service until the end of the paid period.

You can cancel through the App Store subscription settings on your device or by contacting support@withnovu.com.

Refunds are not provided for partially-used billing periods unless required by applicable law. This does not affect your statutory right of cancellation under Section 6.

8. User Obligations

You agree to use the service in accordance with these terms and applicable law. In particular, you agree to:

• Provide truthful and accurate information
• Keep your iCloud account secure
• Not share your account with others
• Notify us immediately of any unauthorized use of your account
• Not use the service for illegal or harmful purposes
• Not reverse engineer, decompile, disassemble, or attempt to derive the source code of the app
• Not use any robot, spider, crawler, scraper, or other automated means, including AI systems, to access or collect any content or data from the Service
• Not use the Service, its output, or any data derived from it to develop, train, or improve any product or service that competes with or substitutes for the Service
• Not attempt to disrupt or damage the service or its operation

8.1 Prohibited Content

When using the service, you agree not to submit content that:

• Violates any applicable laws or regulations
• Infringes the rights of any third party
• Is harmful, abusive, threatening, or harassing
• Is defamatory, obscene, or otherwise objectionable
• Contains malicious code or attempts to compromise security

We reserve the right to remove or restrict content that violates these terms.

9. Intellectual Property Rights

9.1 Service Provider's Rights

Novu Oy owns all rights to the service, its content, structure, appearance, trademarks, and AI-generated content. Your right to use the service is limited and non-exclusive.

You may not use screenshots, screen recordings, design elements, user interface layouts, or any output of the Service as input, training data, or reference material for artificial intelligence, machine learning models, or automated tools for the purpose of replicating, reproducing, or creating derivative works of the Service or any of its features.

9.2 User Content

You retain ownership of the content you submit to the service (voice recordings, tasks, goals). By using the service, you grant us a limited license to:

• Use your content to produce and deliver the service to you
• Use anonymized content to develop and improve the service

You represent that your content does not violate any laws or infringe the rights of others, and that you have the right to grant us this license.

10. AI-Generated Content

Our service generates recommendations, insights, and coaching content using AI models. You acknowledge and agree that:

• AI outputs may contain inaccuracies, errors, or incomplete information
• All AI-generated content is for informational and educational purposes only
• You remain fully responsible for any decisions or actions you take based on AI-generated content
• AI-generated content does not constitute professional, medical, legal, financial, or psychological advice

You should independently verify important information and consult qualified professionals for specific advice.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the service will be accurate or reliable
• Any errors in the service will be corrected

This disclaimer does not affect your statutory rights as a consumer under applicable law.

12. Limitation of Liability

12.1 Nature of the Service

IMPORTANT: Novu is a productivity tool, not a healthcare service. The service does not replace treatment, diagnosis, or advice provided by a doctor, psychologist, psychotherapist, or other healthcare professional. If you have health problems, contact a healthcare professional.

12.2 Limitation of Liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• We are not liable for any loss of profits, data, or business opportunities
• Our total liability is limited to the amount of subscription fees paid by you during the 12 months preceding the claim
• We are not liable for service interruptions or delays caused by force majeure or circumstances beyond our reasonable control

These limitations do not limit the consumer's mandatory legal rights under applicable law, including liability for willful misconduct or gross negligence.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Novu Oy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the service
• Your violation of these terms
• Your content submitted to the service
• Your violation of any law or the rights of any third party

This indemnification obligation does not apply to the extent that claims arise from our willful misconduct or gross negligence, or where prohibited by applicable consumer protection law.

14. Third-Party Services

The service relies on third-party platforms and services, including but not limited to:

• Apple: For iCloud data sync, push notifications, and App Store payment processing
• RevenueCat: For subscription management
• Google: For AI services
• PostHog: For product analytics

We are not responsible for the content, policies, availability, or actions of these third-party services. Your use of third-party platforms is governed by their respective terms of service and privacy policies.

We do not guarantee the continuous availability of third-party services and are not liable for any interruptions, changes, or discontinuation of such services.

15. Service Availability and Updates

We strive to provide the service without interruption, but we do not guarantee its continuous availability. The service may be temporarily unavailable due to maintenance, technical issues, or other reasons.

15.1 Updates and Changes

We may implement updates, new versions, or changes to the service to improve functionality, security, or user experience. Updates may be applied automatically without prior notice.

For significant changes that materially affect your use of the service, we will notify you at least 14 days in advance. If you do not agree to such changes, you may cancel your subscription before the changes take effect.

15.2 Beta Testing

Certain features or versions of the Service may be offered as a beta or pre-release ("Beta"). Beta versions are provided "as is" without warranty of any kind. You acknowledge that Beta versions may contain bugs, errors, and other issues that may cause data loss, crashes, or unexpected behavior. We make no guarantees regarding the availability, reliability, or continuity of any Beta version. Any data you create or store during a Beta period may be deleted or reset without notice. We may revoke your access to any Beta at any time. By participating in a Beta, you agree that any feedback, suggestions, or bug reports you provide may be used by us without restriction or compensation. To the fullest extent permitted by law, we shall not be liable for any damages arising from your use of a Beta version.

15.3 Discontinuation

We reserve the right to discontinue the service or any feature with reasonable notice. In such case, we will provide a prorated refund for any prepaid subscription fees.

16. Contract Termination

We may terminate or suspend your access immediately if:

• You materially breach these terms of use
• You use the service for illegal purposes
• Payment fails repeatedly
• You have provided materially incorrect information
• Required for legal or security reasons

Upon termination, your right to use the service ends immediately. Certain provisions of these terms (including intellectual property, limitation of liability, indemnification, and governing law) will survive termination.

17. Data Protection

The processing of your personal data is described in a separate privacy policy, available at withnovu.com/privacy-policy. The privacy policy is part of these terms of use.

18. Changes to Terms of Use

We may modify these terms of use. We will notify you of changes at least 30 days in advance by email. If you do not accept the changes, you can cancel your subscription before the changes take effect. Continuing to use the service after the changes take effect is considered acceptance of the changes.

19. Governing Law and Dispute Resolution

These terms are governed by the laws of Finland, excluding its conflict of law provisions. We primarily aim to resolve disputes through negotiation.

20. Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Entire Agreement

These terms of use, together with the privacy policy, constitute the entire agreement between you and Novu Oy regarding the use of the service. These terms supersede any prior agreements or communications regarding the subject matter hereof.
